Corporate Paralegal - Midtown NYC (Hybrid)

Schedule: Hybrid (4 days in office / 1 remote)

Hours: 9:30 AM - 5:30 PM

A respected mid-size law firm in Midtown Manhattan is seeking an experienced Corporate Paralegal to join its growing team. This role is ideal for someone who enjoys substantive corporate work, thrives in a collaborative environment, and is looking for long-term stability and work-life balance.

About the Role

The Corporate Paralegal will support attorneys across the Corporate and Transactional practice groups, handling a wide range of responsibilities including entity management, UCC work, corporate governance, and assisting with transactions and closings.

Key Responsibilities

  • Form, register, and maintain business entities across multiple jurisdictions

  • Draft and file formation documents and manage minute books

  • Prepare annual reports, foreign qualifications, and compliance filings

  • Support M&A and corporate transactions, including preparing certificates and assisting with closings

  • Conduct and review UCC filings , lien searches, and related documentation

  • Organize and maintain closing binders, corporate records, and due diligence materials

  • Assist with corporate governance, resolutions, and document preparation

  • Coordinate with attorneys, clients, and third-party vendors as needed

  • Perform general corporate maintenance and support special projects

Qualifications

  • 5+ years of Corporate Paralegal experience in a law firm

  • Solid background in entity formation, corporate maintenance, and transaction support

  • Experience with UCC filings, searches, and managing corporate documents

  • Bachelor's Degree required; Paralegal Certificate a plus

  • Strong communication skills and attention to detail

  • Ability to manage multiple priorities and meet deadlines

  • Proficiency in Microsoft Office and legal databases
