📋 Key Responsibilities:

• Draft, negotiate, and review complex corporate and securities documents, including private placement offerings, fund and LLC agreements

• Lead or support execution of M&A, investment, and commercial agreements

• Provide research and written guidance on tax, securities, banking, aviation, and communications regulations

• Interface with internal teams, clients, and outside counsel across transactional and compliance matters

• Advise clients on structuring, governance, and investor-related agreements

✅ Qualifications:

• Minimum of 5 years’ experience in corporate and securities law

• Licensed in New York or eligible for admission

• Proven success in drafting and negotiating transactional documents

• Demonstrated ability to manage client communications and deadlines independently

• Exposure to regulatory law is a plus

• JD from an ABA-accredited law school with strong academic credentials

• Excellent interpersonal, writing, and analytical skills
